Terms of Service

1. Acceptance of Terms

By accessing or using the SimpleTurn platform, website at simpleturn.ca, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

In these Terms, "you" and "your" refer to the property management company (PMC), landlord, real estate professional, or other business entity accessing or using the Service. If you are accessing the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You must be at least 18 years of age and legally authorized to enter into binding agreements in your jurisdiction to use the Service. By creating an account, you confirm that you meet these eligibility requirements.

2. Description of Service

SimpleTurn is an AI-powered leasing agent software platform designed for Canadian property management companies, landlords, and real estate professionals. The Service enables you to automate and enhance your leasing operations through intelligent technology.

The Service includes, but is not limited to, the following capabilities:

• Deep Research: AI-powered property intelligence that crawls and aggregates data from 30+ Canadian public data sources to build comprehensive property dossiers, including neighbourhood insights, market data, transit scores, and local amenity information
• AI Conversations: Intelligent, context-aware AI leasing agents capable of engaging with prospects across multiple channels (website chat widget, email, SMS, and more) using natural language and property-specific knowledge
• Prospect Management: Lead capture, qualification, scoring, tour scheduling, and follow-up automation tools to help you manage your leasing pipeline from first contact to signed lease
• Analytics & Reporting: Dashboard-based insights into conversation performance, prospect engagement, response times, conversion metrics, and overall leasing funnel analytics

SimpleTurn reserves the right to modify, update, or discontinue any feature or functionality of the Service at any time. We will provide reasonable advance notice (minimum 30 days) for any material changes that significantly affect your use of the Service, except in cases where immediate changes are required for security, legal compliance, or system integrity reasons.

3. Account Registration

To access the Service, you must create an account by providing accurate, current, and complete information during the registration process. You agree to maintain and promptly update your account information to keep it accurate and complete at all times.

You are solely responsible for:

• Maintaining the confidentiality and security of your account credentials, including your password and any API keys
• All activities that occur under your account, whether or not authorized by you
• Promptly notifying SimpleTurn of any unauthorized access to or use of your account at security@simpleturn.ca

Each organization is entitled to one account. Team plans allow multiple users under a single organizational account with role-based access controls. You may not share account credentials between organizations or create multiple accounts for the same organization without prior written consent from SimpleTurn.

4. Acceptable Use

You agree to use the Service only for lawful property leasing and management purposes in accordance with these Terms and all applicable laws and regulations. You are responsible for ensuring that your use of SimpleTurn complies with all relevant Canadian federal, provincial, and municipal legislation.

You agree not to:

• Upload, publish, or transmit any false, misleading, or inaccurate property information, pricing, or availability data through the Service
• Use the Service in any manner that discriminates against any individual or group on the basis of race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity or expression, marital status, family status, genetic characteristics, disability, or any other ground protected under the Canadian Human Rights Act, provincial human rights legislation, or applicable fair housing laws
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying models of SimpleTurn's AI systems or any other proprietary technology
• Resell, sublicense, redistribute, or provide access to the Service to any third party without prior written authorization from SimpleTurn
• Use the Service in any manner that could overload, impair, disable, or damage SimpleTurn's servers, networks, or infrastructure, including excessive API calls, automated scraping, or denial-of-service activities
• Use the Service to send unsolicited communications (spam), harvest contact information, or engage in any form of phishing or social engineering
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to any systems or networks connected to the Service

You are solely responsible for the accuracy and legality of all property data, listing information, and marketing content you upload or provide to the Service. While SimpleTurn's AI agents are designed to deliver accurate and helpful responses, you acknowledge your responsibility to periodically review AI-generated content and conversations to ensure they align with your property's actual offerings, policies, and legal obligations.

5. Data Ownership

You retain full ownership of all data you upload, input, or otherwise provide to the Service ("Your Data"). This includes, but is not limited to, property information, listing details, custom policies, prospect records, conversation configurations, and any other content you create or import into SimpleTurn.

By using the Service, you grant SimpleTurn a limited, non-exclusive, non-transferable license to access, process, store, and display Your Data solely for the purpose of providing, maintaining, and improving the Service for your benefit. This license terminates when you delete Your Data or close your account (subject to applicable retention periods described in our Privacy Policy).

SimpleTurn makes no ownership claims over Your Data. We will not use Your Data for any purpose other than providing the Service to you, and we will not share Your Data with other clients or third parties except as described in our Privacy Policy.

Public research data compiled by SimpleTurn's Deep Research engine (sourced from publicly available Canadian datasets) is provided on an "as-is" basis. While we strive for accuracy and regularly update our data sources, SimpleTurn does not guarantee the completeness, timeliness, or accuracy of third-party public data. You should independently verify any critical information before making business decisions based on Research Dossier data.

6. AI-Generated Content Disclaimer

SimpleTurn uses artificial intelligence and machine learning technologies to power its leasing agent conversations, Research Dossiers, and analytics. While we invest significantly in the quality, accuracy, and reliability of our AI systems, you acknowledge and agree to the following:

• AI-generated responses may occasionally produce inaccurate, incomplete, or inappropriate content. Language models are probabilistic systems that can generate plausible-sounding but factually incorrect information
• You are responsible for reviewing AI-generated content and conversations on a regular basis to ensure accuracy and alignment with your property's policies and offerings
• SimpleTurn's AI is not a substitute for professional legal, financial, real estate, or compliance advice. You should consult qualified professionals for matters requiring specialized expertise
• SimpleTurn provides override and correction tools within the platform that allow you to manually adjust, correct, or disable AI responses. You are encouraged to use these tools to maintain the quality and accuracy of prospect communications

7. Payment & Billing

Access to the Service requires a paid subscription. Subscription fees are detailed on our pricing page and are subject to the plan you select during registration.

• Billing cycles: Subscriptions are billed either monthly or annually, depending on the billing frequency you choose. Annual subscriptions are billed in advance for the full year
• Currency: All fees are quoted and charged in Canadian Dollars (CAD)
• Free trial: New accounts may be eligible for a 7-day free trial to explore the platform. No credit card is required to start a trial. At the end of the trial period, you will be prompted to select a paid plan to continue using the Service
• Payment methods: We accept major credit cards and other payment methods as indicated on our billing page. Payments are processed securely by our PCI DSS-compliant payment processor
• Failed payments: If a payment fails, we will notify you and provide a reasonable grace period to update your payment information before suspending access to the Service
• Taxes: All fees are exclusive of applicable taxes (including GST/HST and provincial sales taxes), which will be added to your invoice as required by law

Subscription fees are non-refundable except where required by applicable consumer protection law. If you believe you are entitled to a refund under applicable law, please contact us at billing@simpleturn.ca.

SimpleTurn reserves the right to change subscription pricing with a minimum of 30 days' advance written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.

8. Cancellation & Termination

You may cancel your SimpleTurn subscription at any time through your account dashboard under Settings > Billing > Cancel Subscription. No cancellation fees apply.

• Continued access: Upon cancellation, you will retain access to the Service for the remainder of your current billing period. No prorated refunds will be issued for unused time within a billing cycle
• Data export: After cancellation, you will have 30 days to export your data (including property records, prospect data, conversation logs, and analytics) through the platform's built-in export tools or by contacting our support team
• Data deletion: Following the 30-day export window, your data will be permanently and irreversibly deleted from our systems, including all backups, in accordance with our data retention policies. This action cannot be undone
• Reactivation: If you wish to reactivate your account within the 30-day export window, you may do so by subscribing to a new plan. After the 30-day period, you will need to create a new account

SimpleTurn may also terminate or suspend your account if you materially breach these Terms, fail to pay subscription fees after reasonable notice, or engage in activity that threatens the security or integrity of the Service. We will provide reasonable notice before any termination except in cases of severe or urgent violations.

9. Intellectual Property

The SimpleTurn platform, including all software, AI models, algorithms, user interface designs, graphics, logos, icons, documentation, and related intellectual property, is and remains the exclusive property of SimpleTurn AI Inc. and its licensors. These Terms do not grant you any right, title, or interest in any SimpleTurn intellectual property except the limited right to use the Service as described herein.

• Trademarks: "SimpleTurn", the SimpleTurn logo, and all related names, marks, and slogans are trademarks of SimpleTurn AI Inc. You may not use these trademarks without prior written permission, except as necessary to refer to the Service in a factual, non-misleading manner
• Widget usage: If you embed the SimpleTurn chat widget on your property websites, you agree to follow our widget embed guidelines, including retaining the "Powered by SimpleTurn" attribution where required by your plan
• Feedback: If you provide suggestions, ideas, or feedback about the Service, SimpleTurn may use this feedback without restriction or compensation to improve the platform

Nothing in these Terms transfers any SimpleTurn intellectual property to you. All rights not expressly granted are reserved by SimpleTurn AI Inc.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

SimpleTurn, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, including but not limited to:

• Errors, inaccuracies, or omissions in AI-generated responses or Research Dossier content
• Revenue loss, missed leasing opportunities, or financial harm resulting from reliance on AI-generated content or platform functionality
• Inaccurate, outdated, or incomplete data provided through the Deep Research engine from third-party public sources
• Decisions made by prospects, tenants, or third parties based on interactions with SimpleTurn AI agents
• Service interruptions, downtime, technical failures, or delays, whether scheduled or unscheduled
• Unauthorized access to your account resulting from your failure to maintain credential security

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, SimpleTurn's liability shall be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SimpleTurn AI Inc., its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service, including any content, data, or materials you upload, publish, or transmit through the platform
• Property data, listing information, or marketing content you provide that is inaccurate, misleading, or unlawful
• Your violation of these Terms or any applicable law, regulation, or third-party rights
• Any dispute between you and a prospect, tenant, or third party arising from interactions facilitated through the Service
• Your failure to review and correct AI-generated content as recommended in these Terms

SimpleTurn will promptly notify you of any such claim and will provide reasonable cooperation (at your expense) in the defense of the claim. You may not settle any claim without SimpleTurn's prior written consent if the settlement would impose any obligation on SimpleTurn or admit liability on behalf of SimpleTurn.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes, claims, or controversies arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the courts as described above.

13. Modifications to These Terms

SimpleTurn reserves the right to modify, update, or replace these Terms at any time. When we make changes:

• We will provide a minimum of 30 days' advance notice before any material changes take effect
• Material changes that significantly affect your rights or obligations will be communicated via email to the address associated with your account
• We will update the "Last updated" date at the top of this page
• A summary of changes may also be posted within the SimpleTurn platform dashboard

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must discontinue use of the Service before the changes take effect and may cancel your subscription in accordance with Section 8.

We encourage you to review these Terms periodically to stay informed of any updates.
